1. Introduction and Definitions
These Terms and Conditions govern all services provided by CTP Capital LLC and all use of its website and communication channels. By engaging our services, signing any agreement with us, or using our website, you agree to be bound by these Terms.
CTP Capital LLC is a limited liability company registered in Dubai, United Arab Emirates, holding Trade License No. and RERA Office Registration No. , with its registered office at Churchill Office Tower Business Bay Office 2110, Dubai, UAE.
In these Terms:
"Company", "we", "us", "our" means CTP Capital LLC, including its employees, registered brokers and authorised representatives.
"Client", "you", "your" means any individual or entity that uses our website or engages our Services, including buyers, sellers, landlords, tenants and investors.
"Services" means the real estate services described in Section 2.
"Property" means any residential, commercial or land property, whether ready or off-plan, that is the subject of the Services.
"RERA" means the Real Estate Regulatory Agency of Dubai; "DLD" means the Dubai Land Department.
"Agreement" means any RERA-prescribed form (including Form A, Form B, Form I or Form F / MOU), listing agreement, management agreement or other written contract signed between the Client and the Company.
Where an Agreement conflicts with these Terms, the Agreement prevails for that transaction.
2. Our Services
The Company acts as a licensed real estate broker and advisor in the Emirate of Dubai. Depending on the Agreement signed, the Services may include:
Sales brokerage for buyers and sellers of ready and off-plan Property.
Leasing brokerage for landlords and tenants, including support with Ejari registration.
Property management on behalf of owners.
Investment advisory, market research and valuation guidance.
Marketing and listing of Property on our website and third-party portals.
The exact scope, duration and fees of the Services for each Client are set out in the relevant Agreement. The Company acts as an intermediary only and is not a party to the sale, purchase or lease contract between buyer and seller or landlord and tenant, unless expressly stated in writing.
Any information or opinion we provide on market value, rental yield, capital appreciation or investment return is a non-binding estimate. It does not constitute financial, legal or tax advice, and the Client should obtain independent professional advice before making any decision.
3. Client Obligations and Property Information
The Client must provide complete, accurate and up-to-date information to the Company at all times. In particular, the Client agrees to:
Provide valid identification documents (passport, Emirates ID, visa, or trade license for companies) on request.
Confirm, where acting as owner or landlord, that they hold valid title to the Property or are legally authorised to market it (including a valid Power of Attorney where applicable).
Disclose any mortgage, lien, service charge arrears, tenancy, dispute or other encumbrance affecting the Property.
Not deal directly with any buyer, seller, landlord or tenant introduced by the Company in order to avoid paying commission.
Property details, photographs, floor plans, prices and availability shown on our website, in brochures or on third-party portals are provided in good faith, based on information from owners, developers or other third parties. They are indicative only, do not form part of any contract and may change without notice.
The Company does not guarantee the accuracy or completeness of such information. Clients must carry out their own inspection and due diligence, including verification of title and status with the DLD, before entering into any transaction.
4. Fees, Commission, Deposits and Payments
Commission is earned when a transaction introduced or facilitated by the Company is agreed, and is payable as set out in the relevant Agreement. Unless otherwise agreed in writing, the following standard rates apply:

All fees are quoted in UAE Dirhams (AED) and are subject to Value Added Tax (VAT) at the prevailing rate. Government and third-party fees, including DLD transfer fees, trustee fees, Ejari fees, NOC fees and mortgage registration fees, are not included and are payable by the party responsible under applicable law or the Agreement.
Commission remains payable if, within [6] months after the Agreement ends, the Client completes a transaction with a party first introduced by the Company.
Any security deposit or reservation deposit is handled as stated in the Agreement and in line with RERA and DLD rules. Payments for off-plan Property are made directly into the developer's registered escrow account and never to the Company. The Company does not accept cash payments for purchase prices and accepts payments only by bank transfer, manager's cheque or other traceable methods.
Invoices are payable within [7] days of issue. Late payments may incur reasonable collection costs.
5. Viewings, Offers and Third Parties
Viewings are arranged by appointment only and are conducted in the presence of a Company representative unless agreed otherwise. Clients attend viewings at their own risk and must follow building, community and safety rules.
All offers are subject to acceptance by the owner or landlord. An offer or reservation becomes binding only once the relevant RERA form or contract is signed by all parties. The Company does not guarantee that any offer will be accepted or that any transaction will complete.
The Company may work with developers, mortgage brokers, banks, conveyancers, surveyors and other third parties. These third parties act independently, and the Company is not responsible for their acts, omissions, fees or services. The Company may receive a referral fee from such third parties, which will be disclosed to the Client on request.
6. Anti-Money Laundering and Data Protection
As a real estate broker, the Company is a Designated Non-Financial Business and Profession (DNFBP) under UAE anti-money laundering and counter-terrorist financing laws. The Company must therefore carry out Know Your Customer (KYC) and customer due diligence checks before and during any business relationship.
The Client agrees to provide identification, proof of address, source of funds and source of wealth information, and details of any ultimate beneficial owner on request. The Company may refuse, suspend or terminate the Services without liability if the Client fails to provide this information, or if the Company suspects any unlawful activity. The Company may be legally required to report suspicious transactions to the UAE Financial Intelligence Unit and is not permitted to inform the Client of such a report.
The Company collects and processes personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and other applicable laws. Personal data is used to provide the Services, meet legal and regulatory obligations, and, with the Client's consent, send marketing communications. It may be shared with owners, developers, banks, the DLD, RERA and other parties only where necessary for the transaction or required by law.
Clients may request access to, correction of or deletion of their personal data, subject to legal retention requirements, by contacting the Company at the address in Section 9. Further details are set out in our Privacy Policy.
7. Website Use and Intellectual Property
All content on the Company's website and marketing materials, including text, logos, photographs, videos, floor plans and design, is owned by or licensed to CTP Capital LLC. It may not be copied, reproduced, distributed or used for commercial purposes without our prior written consent.
When using our website, you agree not to:
Use it for any unlawful or fraudulent purpose.
Submit false or misleading information or enquiries.
Attempt to gain unauthorised access to our systems, or introduce viruses or malicious code.
Scrape, copy or extract listings or data by automated means.
Our website may contain links to third-party websites. The Company has no control over and accepts no responsibility for their content or privacy practices. We do not guarantee that the website will be available at all times or free from errors.
8. Liability, Indemnity and Force Majeure
To the fullest extent permitted by UAE law, the Company's total liability to any Client for any claim arising from the Services is limited to the commission actually paid by that Client for the transaction concerned.
The Company is not liable for:
Any indirect, consequential or special loss, including loss of profit, rental income, opportunity or goodwill.
Any loss caused by inaccurate information supplied by the Client, owners, developers or other third parties.
Delays, defects or failures by developers in completing or handing over off-plan Property.
Changes in market conditions, property values, interest rates, laws or regulations.
The acts or omissions of any buyer, seller, landlord, tenant or third-party service provider.
Nothing in these Terms limits liability for fraud, gross negligence or any liability that cannot be excluded under UAE law.
The Client agrees to indemnify the Company against any claims, losses, fines and costs (including reasonable legal fees) arising from the Client's breach of these Terms, false or misleading information, or breach of applicable law.
The Company is not responsible for any delay or failure to perform caused by events beyond its reasonable control. These include natural disasters, pandemics, war, civil unrest, government action, regulatory changes, power or internet failures, and failures of government systems such as DLD or Ejari platforms.
9. Termination, Governing Law and General Provisions
Either party may terminate the Services in accordance with the notice period and conditions set out in the relevant Agreement. The Company may terminate immediately if the Client breaches these Terms, fails KYC checks, or acts unlawfully. Termination does not affect any commission or fees already earned or payable.
These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The parties will first try to resolve any dispute amicably within [30] days. If the dispute is not resolved, it will be referred to the RERA Rental Dispute Centre where applicable, or otherwise to the exclusive jurisdiction of the courts of Dubai.
The Company may update these Terms at any time by publishing the revised version on its website. The version in force at the time a Service is requested applies to that Service. If any provision is found invalid or unenforceable, the remaining provisions stay in full force. These Terms are written in English; if they are translated into Arabic or another language, the English version prevails to the extent permitted by law.
